1. Scope
1.1 These General Terms and Conditions (hereinafter referred to as "GTC") apply to all contracts between the SINTREL Electronic AG, Moosmatt 14, 8905 Arni (hereinafter referred to as "SINTREL" or "we") and its customers (hereinafter referred to as "customer"), which are concluded via the website sintrel.ch – in particular for the purchase of measuring instruments and accessories (webshop), the rental of measuring instruments ("equipment rental"), calibration, certification and repair orders as well as consulting and training services.
1.2 Any differing, conflicting or supplementary terms and conditions of the customer shall not become part of the contract unless SINTREL expressly agrees to their validity in writing.
1.3 By placing an order, commissioning a service or using the website, the customer accepts these terms and conditions.
2. Conclusion of the contract
2.1 The presentation of products and services in the webshop does not constitute a binding offer, but rather a non-binding invitation to the customer to submit an offer.
2.2 By submitting the order via the webshop, the customer makes a binding offer to conclude a purchase agreement.
2.3 The contract is concluded as soon as SINTREL accepts the order by sending an order confirmation via e-mail, or at the latest upon delivery of the goods or commencement of the service provision.
2.4 For calibration, repair and consulting orders initiated via an inquiry form, the contract only comes into effect with the individual written order confirmation (including price) by SINTREL.
3. Prices and payment terms
3.1 All prices are in Swiss francs (CHF) and, unless otherwise stated, exclude the applicable value added tax (currently 8.1 % standard rate) as well as shipping and packaging costs.
3.2 The price displayed on the website at the time of ordering shall apply.
3.3 Payment is made via the payment methods offered at checkout (e.g. credit card, TWINT, invoice, prepayment).
3.4 Unless otherwise agreed, payment by invoice is due within 30 days of the invoice date without deduction. If payment is not received within this period, the customer will be in default without further notice.
3.5 SINTREL reserves the right to demand advance payment or other security from customers without a prior business relationship.
4. Delivery and Shipping
4.1 Delivery will be made to the delivery address specified by the customer within Switzerland (or other countries, if selectable in the checkout).
4.2 Unless expressly stated as binding, delivery times given are non-binding guidelines.
4.3 The risk of accidental loss or accidental damage to the goods passes to the customer upon handover to the carrier or at the latest upon delivery to the customer.
5. Retention of title
The delivered goods remain the property of SINTREL until full payment of all claims arising from the respective contract (Art. 715 of the Swiss Civil Code).
6. Right of withdrawal and return
6.1 Unlike EU law, Swiss law does not recognize a statutory right of withdrawal for contracts concluded at a distance.
6.2 SINTREL nevertheless voluntarily grants consumers a right of return: Unused, originally packaged goods can be returned within 14 days of receipt at the customer's expense. Calibrated, individually configured devices and services already rendered are excluded from return.
7. Equipment rental
7.1 The following rules apply additionally to the rental of measuring instruments.
7.2 The rental period, rental price and any deductible/deposit are determined according to the individual booking or order confirmation.
7.3 The renter undertakes to handle the rented equipment carefully, to use it only as intended and to have it operated exclusively by qualified personnel.
7.4 The rented equipment must be returned in the same condition as when it was handed over (taking normal wear and tear into account) and on time. In case of late return, the rental fee will be charged proportionally.
7.5 In the event of loss, theft or damage to the rented equipment beyond normal wear and tear, the renter is liable for the replacement or repair value.
7.6 Subletting or transferring the rental equipment to third parties is prohibited without the prior written consent of SINTREL.
8. Calibration, certification and repair
8.1 Orders for calibration, certification or repair are carried out on the basis of the individual order confirmation, which specifies the scope of services, price and expected processing time.
8.2 If, during processing, it becomes apparent that additional work is necessary which was not foreseeable beforehand, SINTREL will inform the customer in advance; additional costs will only be invoiced after the customer's approval.
8.3 Calibration certificates are issued to the best of our knowledge and within the framework of recognized standards (e.g. ISO/IEC 17025, SCS accreditation).
9. Warranty
9.1 New goods are subject to the statutory warranty in accordance with Art. 197 et seq. of the Swiss Code of Obligations. The warranty period for new goods is two years from delivery, unless otherwise agreed.
9.2 For used equipment (e.g. demonstration or second-hand equipment), the warranty period may be reduced to one year within the limits permitted by law.
9.3 Defects must be reported in writing immediately upon discovery, but no later than within 10 days.
9.4 In the event of a justified complaint regarding defects, SINTREL has the right, at its own discretion, to rectify the defect, provide a replacement or refund the goods.
10. Liability
10.1 SINTREL shall be liable without limitation for damages resulting from intent or gross negligence, as well as for personal injury to the extent required by law.
10.2 Furthermore, SINTREL shall only be liable for slight negligence within the scope of the contractual agreement and excluding indirect damages, consequential damages and lost profits, to the extent permitted by law.
11. Data protection

12. Intellectual Property
All content on this website (texts, images, logos, software) is protected by copyright and/or trademark law and may not be reproduced, distributed or otherwise used without the prior written consent of SINTREL.
13. Amendment to the Terms and Conditions
SINTREL reserves the right to amend these Terms and Conditions at any time. The version published on the website at the time of contract conclusion shall apply.
14. Applicable Law and Jurisdiction
14.1 Swiss law shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
14.2 The place of jurisdiction for all disputes arising from or in connection with these Terms and Conditions is, to the extent legally permissible, the registered office of SINTREL in Arni (Canton of Aargau). Mandatory statutory places of jurisdiction remain reserved.
15. Final Provisions
Should individual provisions of these terms and conditions be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
